1. Agreement and order of precedence
These terms apply to an organization’s access to Dealer Title Tracker. If a signed order form, service agreement, data agreement, or other written contract conflicts with these terms, the signed agreement controls for that conflict.
2. Accounts and responsibilities
Customers must provide accurate business and account information, designate authorized administrators, protect login credentials, keep user and store assignments current, and promptly report suspected unauthorized access. Accounts may not be shared by multiple people. Each user is responsible for activity performed through that user’s credentials.
3. Authorized use
The service may be used only for the customer’s lawful dealership title, registration, document, shipment, reporting, and related operational work within the purchased and enabled scope. Customers may not probe security, bypass access controls, introduce malicious code, scrape the service, use another customer’s data, interfere with operations, or use the service for unlawful, deceptive, or harmful activity.
4. Subscription and billing
Plan scope, charges, payment terms, renewal, onboarding, and support are stated in the applicable order or service agreement. Amounts are due as stated on the invoice. Unless the signed agreement says otherwise, fees already earned for an active billing period are nonrefundable. Dealer Title Tracker does not collect full payment-card numbers, CVVs, or raw card credentials.
5. Customer data
As between the parties, the customer retains its rights in customer-submitted data. The customer authorizes Illinois Title Services and its service providers to process that data only as reasonably necessary to provide, secure, support, and improve the contracted service and comply with law. The customer is responsible for its authority to submit and use the data and for the accuracy of transaction and filing information.
6. Availability and support
Illinois Title Services will use commercially reasonable efforts to provide the service and support described in the applicable agreement. Maintenance, provider interruptions, security events, internet failures, agency changes, and other circumstances can affect availability. No guaranteed uptime or uninterrupted operation is promised unless a signed agreement expressly provides it.
7. Product scope and review
State-specific calculators, forms, document tools, Police Book workflows, Deal Log workflows, imports, exports, and integrations are available only where enabled and reviewed. Outputs are decision-support materials and must be checked before filing or reliance. See the Disclaimer.
8. Intellectual property
Illinois Title Services and its licensors retain all rights in the service, software, workflows, design, documentation, and non-customer materials. Subject to payment and compliance, the customer receives a limited, nonexclusive, nontransferable right for its authorized users to access the service during the subscription term.
9. Suspension and termination
Access may be suspended for a material security risk, unlawful use, misuse of another tenant’s data, failure to pay undisputed amounts after notice, or material breach. When practical, Illinois Title Services will provide notice and an opportunity to cure. Termination, post-termination access, exports, retention, and deletion follow the signed agreement and applicable law.
10. Disclaimers and limitation of liability
Except for express commitments in a signed agreement, the service is provided on an “as available” basis and implied warranties are disclaimed to the extent permitted by law. To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Except for obligations that cannot lawfully be limited, confidentiality or data-misuse obligations, intellectual-property infringement, fraud, willful misconduct, and payment obligations, each party’s aggregate liability is limited to fees paid or payable for the service during the twelve months before the event giving rise to the claim.
11. Disputes and governing law
The parties will first attempt in good faith to resolve a dispute through business representatives. Unless a signed agreement states otherwise, Illinois law governs without regard to conflicts principles, and state or federal courts located in Illinois have exclusive jurisdiction. Nothing prevents either party from seeking temporary injunctive relief to protect data, security, confidentiality, or intellectual-property rights.
